Morrowfield legal
Terms of Service
Effective October 7, 2026
These Terms govern your use of Morrowfield. By accessing or using the service, you agree to them. If you do not agree, do not use the service.
1. The service
Morrowfield, operated by Sharshi (“Morrowfield,” “we,” “us,” or “our”), provides personal workspace applications for organizing information and completing tasks. Features may include media storage, task management, notes, classroom tools, Upkeep AI, APIs, and connections to third-party assistants.
2. Eligibility and accounts
You must be legally able to enter into these Terms. You are responsible for providing accurate information, protecting access to your email and devices, and all activity performed through your account or authorized connectors. Notify us promptly if you believe your account or credentials have been compromised.
3. Your content
You retain ownership of content you submit. You grant us a limited, non-exclusive license to host, reproduce, process, transform, and transmit that content only as needed to provide, secure, support, and improve the service or comply with law.
You represent that you have the rights needed to provide the content and that our processing of it as described in these Terms will not violate another person’s rights or applicable law.
4. Connected agents and authorization
You may authorize assistants such as Muse or Instinct to access Morrowfield tools. Connector access is limited to the authenticated account and the tools and permissions made available. You are responsible for reviewing requested actions, maintaining connector credentials, and revoking access you no longer want.
Read access does not authorize a write. A proposed record, draft, or pending action is not complete until the service confirms completion. You must review consequential actions before approving them. We may use idempotency and audit records to prevent duplicates and document connector activity.
5. AI output and home-maintenance information
Automated output may be inaccurate, incomplete, or outdated. Morrowfield is an organizational tool, not a substitute for professional judgment. Verify important information against source documents and qualified professionals.
Upkeep AI does not provide engineering, electrical, plumbing, construction, environmental, emergency, or other professional advice. Follow manufacturer instructions, applicable codes, and safety warnings. Work marked for professional service—or work involving electricity, gas, structural systems, hazardous materials, fire protection, or personal safety—should be handled by a qualified professional.
6. Acceptable use
You may not misuse the service, interfere with its operation, access another person’s account, bypass security or permission controls, introduce malicious code, scrape or overload the service, use it to violate law or another person’s rights, or use automated tools beyond documented limits. You may not present unconfirmed or failed agent actions as completed.
7. Subscriptions and payment
Paid features, billing periods, prices, and renewal terms are presented before purchase. Subscriptions renew until canceled unless stated otherwise. Taxes may apply. Payments may be processed by third-party providers under their terms. Except where law requires otherwise, fees already charged are non-refundable.
8. Third-party services
Morrowfield may interoperate with third-party services. We do not control those services and are not responsible for their content, availability, security, or handling of information. Your use of a third-party service is governed by its own terms and policies.
9. Our rights
Morrowfield and its software, design, branding, and documentation are protected by intellectual-property laws. Except for the limited right to use the service under these Terms, no rights are transferred to you. Feedback may be used without restriction or compensation.
10. Changes, suspension, and termination
We may change or discontinue features, impose reasonable limits, or suspend access to protect users, comply with law, address security risk, or enforce these Terms. You may stop using the service at any time. Provisions that by their nature should survive termination will survive.
11. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted operation, preservation of every file, or the accuracy of automated output.
12. Limitation of liability
To the maximum extent permitted by law, Morrowfield and Sharshi will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunities. Our aggregate liability arising from the service will not exceed the greater of the amount you paid us during the twelve months before the event giving rise to the claim or one hundred U.S. dollars.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold Morrowfield and Sharshi harmless from claims, damages, and expenses arising from your content, misuse of the service, violation of these Terms, or infringement of another person’s rights.
14. General terms
These Terms and the Privacy Policy form the entire agreement concerning the service. If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, or transfer of the service.
